Terms of Service

These Terms govern your access to and use of Bridgeupp Chatbot and related websites (the "Service") provided by Bridgeupp LTD ("Bridgeupp", "we", "us"). By using the Service, you agree to these Terms.

You must be able to form a binding contract. If you use the Service for a company, you confirm you have authority to bind that company.

5.1 Definitions

"AI Features" means any machine-learning or generative AI functionality in the Service, including any chatbot, agent, automation, summarization, classification, or content generation features. "Input" means any data, content, prompts, instructions, files, URLs, documents, knowledge-base materials, conversation messages, and other information submitted to or processed by the Service (including by end users). "Output" means any responses, suggestions, answers, classifications, summaries, actions, or other results generated by the AI Features based on Input.

5.2 Outputs are not verified; no reliance

Outputs are generated automatically and are not reviewed, verified, endorsed, or guaranteed by Bridgeupp. Outputs may be inaccurate, incomplete, misleading, outdated, offensive, unsafe, or inappropriate for the specific context. You and your end users use Outputs at your own risk. You are solely responsible for evaluating Outputs, deciding whether to use or act on Outputs, and implementing appropriate safeguards (including human review) before any reliance.

5.3 No professional advice; high-stakes use is your responsibility

Outputs are provided for general informational purposes only and do not constitute professional advice (including legal, medical, financial, accounting, tax, or compliance advice). You must not rely on Outputs as a substitute for qualified professional judgment. You are solely responsible for ensuring appropriate qualified human oversight for any high-stakes context (including safety, health, legal rights, financial decisions, regulatory compliance, or any context where errors could cause harm).

5.4 Your responsibility for configuration, knowledge data, and monitoring

You control how the Service is configured and what Inputs are provided (including what sources are connected or ingested and what instructions are given). You are solely responsible for the quality, accuracy, legality, and suitability of all Customer Content and Inputs you provide or permit to be provided; for reviewing and monitoring chatbot performance using available tools (including conversation history, analytics, feedback, and other dashboard controls); for promptly correcting, removing, or updating Customer Content, sources, instructions, and settings to reduce inaccuracies or unsafe behavior; and for implementing escalation paths, end-user disclaimers, and operational procedures appropriate to your use case.

5.5 End-user communications and disclosures

You are solely responsible for ensuring that your end users receive any disclosures required by applicable law (including that they may be interacting with an AI system), and for obtaining any consents or providing any notices required for the collection and processing of chat content, lead data, and other personal data.

5.6 Third-party AI providers and sub-processing

The Service may route Inputs and Outputs through third-party model providers or subprocessors to generate responses and operate the AI Features, as described in our Privacy Policy and/or applicable documentation. Bridgeupp is not responsible for third-party services beyond the extent required by applicable law and our agreements with such providers.

5.7 No warranties regarding AI Features or Output

To the maximum extent permitted by law, Bridgeupp makes no warranties of any kind regarding the AI Features or any Output, including any warranties of accuracy, completeness, non-infringement, merchantability, fitness for a particular purpose, or that Outputs will be error-free or meet your requirements.

5.8 Outputs do not reflect Bridgeupp’s views; similarity

Outputs are generated from statistical/machine-learning processes and do not represent Bridgeupp’s views. Outputs may be similar or identical to outputs generated for other customers or contexts.

5.9 Prohibited and high-risk uses

You must not use (and must not permit end users to use) the Service or AI Features:

Pricing and plan details are described on our site or order form. Billing terms are described in Billing Terms. Payments are processed via Tranzila tokenization.

We may suspend or terminate access if we reasonably believe there is a violation of these Terms, a security risk, or abuse. You may stop using the Service at any time. Termination does not eliminate payment obligations accrued before termination.

10) Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

11) Limitation of liability

Some jurisdictions limit exclusions; in that case, limitations apply to the greatest extent permitted by law.

11A) Indemnification (Customer to Bridgeupp)

You will defend, indemnify, and hold harmless Bridgeupp, its affiliates, and their directors, officers, employees, and agents from and against any claims, damages, liabilities, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Content, Inputs, or your use of any Output; (b) your configuration or deployment of the Service (including instructions, routing, and disclosures to end users); (c) allegations that Customer Content or Inputs infringe or misappropriate third-party rights; (d) your alleged violation of law, regulation, or third-party rights; or (e) any dispute between you and an end user. Bridgeupp may assume control of the defense at your expense, and you will cooperate as reasonably requested.

12) Governing law and venue

These Terms are governed by the laws of Israel (without regard to conflict of laws principles). Courts located in Israel have exclusive jurisdiction, unless otherwise required by applicable law.

13) Changes

We may update these Terms. We will post the updated version with a new "Last updated" date. Continued use after changes take effect means you accept the updated Terms.
